By accessing our Site or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our Site or Services.
1. About Scout Sourcing PH
Scout Sourcing PH is a business outsourcing company based in the Philippines, providing services to clients internationally, including businesses located in the United States. While our team and operations are based in the Philippines, we structure our Services to comply with applicable consumer protection expectations of our target markets, including the United States, to the extent reasonably possible.
2. Eligibility
By using our Site or Services, you represent that:
-
You are at least 18 years of age or the age of majority in your jurisdiction.
-
You have the legal authority to enter into these Terms on behalf of yourself or the business you represent.
-
The information you provide to us is accurate and complete.
3. Services
3.1 Scout provides outsourced staffing and business support services as described on our Site or as agreed upon in a separate Service Agreement, Statement of Work (SOW), or contract between Scout and the Client.
3.2 Specific deliverables, pricing, staffing arrangements, and service-level expectations will be outlined in a separate written agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement will prevail for matters it specifically addresses.
3.3 Scout reserves the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice to active Clients where feasible.
4. Client Responsibilities
You agree to:
-
Provide accurate, complete, and timely information necessary for Scout to perform the Services.
-
Use the Services in compliance with applicable laws, including U.S. federal and state laws where relevant to your business.
-
Not use our Services for any unlawful, fraudulent, or harmful purpose.
-
Maintain the confidentiality of any login credentials, tools, or account access provided in connection with the Services.
5. Payment Terms
5.1 Fees for Services will be outlined in an invoice, quote, or Service Agreement provided to the Client.
5.2 Payments are due according to the schedule specified in the applicable agreement. Late payments may result in suspension of Services.
5.3 All fees are quoted and payable in the currency specified in the invoice (e.g., USD), unless otherwise agreed. Client is responsible for any bank fees, currency conversion charges, or transaction costs associated with international payments.
5.4 Refunds, if any, will be governed by the terms specified in the applicable Service Agreement.
6. Intellectual Property
6.1 All content on the Site — including logos, graphics, text, and branding (e.g., "Scout," "We Supply Your Success") — is the property of Scout Sourcing PH and may not be copied, reproduced, or used without written permission.
6.2 Any work product created by Scout personnel specifically for a Client under a Service Agreement will be owned according to the terms specified in that agreement. Absent a specific written agreement, Scout retains ownership of any general tools, templates, or methodologies used to deliver Services.
7. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive business information shared during the course of the engagement, and not to disclose such information to third parties without prior written consent, except as required by law.
8. Data Privacy
Scout is committed to protecting personal data in accordance with the Philippine Data Privacy Act of 2012 and, where applicable to Clients or end-users based in the United States, relevant U.S. state privacy laws (such as the California Consumer Privacy Act/CPRA). Please refer to our [Privacy Policy] for full details on how we collect, use, and protect personal information.
9. Limitation of Liability
To the fullest extent permitted by law, Scout Sourcing PH shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Services or Site, even if advised of the possibility of such damages.
Our total liability for any claim arising from the Services shall not exceed the total fees paid by the Client to Scout in the three (3) months preceding the claim, unless otherwise specified in a Service Agreement.
10. Indemnification
You agree to indemnify and hold harmless Scout Sourcing PH, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Services.
11. Termination
Either party may terminate the Service Agreement in accordance with the notice period specified therein. Scout reserves the right to suspend or terminate access to Services immediately in cases of non-payment, breach of these Terms, or unlawful use.
12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to conflict of law principles, unless otherwise agreed in writing in a specific Service Agreement with a U.S.-based Client.
Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation, and if unresolved, may be submitted to arbitration or the appropriate courts as specified in the applicable Service Agreement.
(Note: Many U.S. businesses prefer a specified governing law and dispute resolution venue in their contracts. This clause should be reviewed and potentially customized per client contract — see disclaimer below.)

We may update these Terms from time to time. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
